Terms & Conditions

Please read these Terms & Conditions carefully before using the SmartKNX website or placing an order. By accessing smartknx.eu or submitting an order or project enquiry, you confirm that you have read, understood, and agreed to be bound by these Terms & Conditions in their entirety.

  • VAT number (CUI): RO38603327
  • Trade Register number: J13/3922/2017

1.2 Customers (Businesses and Consumers)

The SmartKNX online shop and professional services are available to both business customers (companies, sole traders, partnerships and other legal entities acting in the course of their trade, business, craft or profession) and private individuals (consumers), in Romania, across the European Union and internationally (“Customer”, “you” or “your”). The terms that apply to your purchase — in particular regarding VAT, pricing and the right of withdrawal — depend on whether you are acting as a business or as a consumer, as set out in these Terms & Conditions.

Where any applicable EU or Romanian law grants mandatory rights to consumers that cannot be excluded by contract, those rights shall nonetheless apply to any individual who, on the facts, qualifies as a consumer under Directive 2011/83/EU or Romanian law, irrespective of how they have represented themselves.

1.3 Territorial Scope

These Terms & Conditions govern:

  • the purchase of KNX hardware and related products via the SmartKNX online shop; and
  • the provision of KNX smart-home and building-automation integration services, including design, ETS programming, on-site installation, commissioning, and ongoing support, delivered across Europe.

1.4 Entire Agreement

These Terms & Conditions, together with any project-specific contract, quotation, or order confirmation issued by SmartKNX, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior representations, negotiations, or understandings. Any general terms and conditions of the Customer are expressly excluded unless SmartKNX has given express written consent to their inclusion.

2. Products and B2B Pricing

2.1 Product Range

The SmartKNX online shop offers KNX-certified hardware, components, and associated equipment for smart-home and building-automation applications. Product descriptions, technical specifications, and images are provided for information purposes. We make every reasonable effort to ensure accuracy, but minor discrepancies may occur. In the event of a discrepancy between a product image and its written description, the written description shall prevail.

2.2 Account Registration Required

All prices in the online shop are displayed exclusively to registered account holders who are logged in. Prices are not visible to unregistered visitors. When registering, business customers should provide their company details and VAT identification number, while private individuals register with their personal contact and address details. SmartKNX reserves the right to approve or decline account applications at its sole discretion.

2.3 Prices Exclusive of VAT

All prices displayed in the online shop are quoted in Euros (EUR) and are exclusive of Value Added Tax (VAT) and exclusive of delivery charges unless expressly stated otherwise. VAT will be applied, or reverse-charge rules will be indicated, at the checkout stage in accordance with applicable EU VAT legislation (see Section 6 below).

2.4 Price Changes

Prices are subject to change without notice. The price applicable to your order is the price displayed at the time you submit your order. SmartKNX shall not be bound by any typographical or manifest pricing errors. If a pricing error is discovered after an order has been placed, we will notify you as soon as reasonably practicable and give you the opportunity to confirm the order at the correct price or cancel it for a full refund of any sums paid.

3. Ordering Process and Contract Formation

3.1 Placing an Order

To place an order via the online shop, you must:

  1. log in to your verified business account;
  2. add the desired products to your shopping basket;
  3. review your basket, confirm your delivery address and billing details;
  4. review these Terms & Conditions and confirm your acceptance; and
  5. submit your order by clicking the order confirmation button.

Submitting your order constitutes a contractual offer to purchase the selected products on the terms set out herein.

3.2 Order Acknowledgement

Upon receipt of your order, we will send an automated order acknowledgement to the email address registered to your account. This acknowledgement confirms that your order has been received but does not constitute acceptance of your offer.

3.3 Contract Formation

A binding contract of sale is formed only when SmartKNX sends you a separate order confirmation expressly accepting your order, or when we dispatch the goods to you, whichever is the earlier. We reserve the right to decline any order at our sole discretion, including where goods are out of stock, where we are unable to verify your business account details, or where payment is not received in accordance with Section 4.

3.4 Quotations and Project Enquiries

Quotations for integration services and project work submitted through our contact or quote-request form, or issued by SmartKNX by email, are valid for 30 days from the date of issue unless a different validity period is stated in the quotation. A quotation does not constitute a binding offer. A binding contract for services is formed only upon the execution of a signed project agreement or, where agreed by the parties, upon written acceptance of a quotation and receipt of the required advance payment described in Section 4.2.

4. Payment

4.1 Payment Method

Payments are made in Euros (EUR) using the methods offered at checkout: (a) by credit or debit card, processed securely by our payment provider Stripe; or (b) by direct bank transfer (wire transfer) to the bank account shown at checkout and on your order confirmation, quoting your Order ID as the payment reference. Payment must be made in full. Integration projects and services are invoiced and paid by bank transfer as set out in Section 4.2.2.

Any bank charges, currency conversion fees, or intermediary bank fees incurred in connection with the transfer are the sole responsibility of the Customer. SmartKNX must receive the full invoiced amount net of any deductions.

4.2 Payment Terms

4.2.1 Online Shop Products

Full payment is required in advance for all product orders placed via the online shop. Where you pay by card, payment is taken at the time you place your order. Where you choose bank transfer, our bank details are provided on your order confirmation and payment must be received within 5 business days; the order will not be processed, allocated or dispatched until full payment has been received and confirmed in our bank account, and if payment is not received within that period SmartKNX reserves the right to cancel the order without further notice. An invoice will be issued for every order.

4.2.2 Contracted Integration Projects and Services

50% advance payment of the total agreed project value is required prior to the commencement of any integration project or contracted services engagement. The remaining 50% balance is due as specified in the relevant project agreement, which may include milestone-based payments or payment upon completion and acceptance, as agreed in writing between the parties. Work will not commence until the advance payment has been received in full.

4.3 Late Payment

Without prejudice to any other right or remedy available to us, if you fail to make any payment by the due date, SmartKNX reserves the right to:

  • suspend or withhold performance of any outstanding obligations, including dispatch of goods or continuation of services;
  • charge statutory interest on overdue amounts in accordance with Romanian Law No. 72/2013 on measures for combating late payment in commercial transactions and applicable EU Directive 2011/7/EU; and
  • recover all reasonable costs of debt collection.

4.4 Payment Security

Bank transfer details will be communicated exclusively via official SmartKNX invoices or email correspondence sent from office@smartknx.eu. Please verify bank account details carefully before initiating any transfer. SmartKNX will never request changes to payment details via telephone or informal communication channels.

5. Delivery

5.1 Delivery Method

Products ordered via the online shop are dispatched by tracked courier, primarily FedEx, to destinations in Romania, across the European Union and internationally. The courier and the shipment tracking number are indicated on your order (order confirmation and order details) once your parcel has been dispatched. For deliveries outside the European Union, any import duties, customs charges or taxes levied by the destination country are the responsibility of the Customer.

5.2 Shipping Costs

Shipping costs are not included in the product prices displayed in the online shop. Delivery charges are calculated separately and will be presented to you clearly before you confirm your order, based on the delivery destination, parcel weight, dimensions, and the applicable courier’s tariff. Shipping costs will appear as a separate line item on your invoice.

5.3 Delivery Times

We aim to dispatch orders promptly following confirmation of the required advance payment. Estimated delivery times will be indicated on the product listing and/or order confirmation where possible. In all cases, delivery shall be completed within a maximum of 30 calendar days from receipt of the required advance payment — full payment for online-shop orders (Section 4.2.1), or at least 50% of the goods value for contracted equipment supply (Section 4.2.2) — unless otherwise agreed in writing.

Delivery timescales are estimates and may be affected by factors outside our reasonable control, including courier delays, customs clearance, or force majeure events. SmartKNX shall not be liable for delays attributable to third-party couriers provided we have dispatched the goods within a reasonable time.

5.4 Delivery Address and Risk

Goods will be delivered to the address specified in your order. It is your responsibility to ensure that the delivery address is accurate and complete. Risk in the goods passes to you upon delivery to the specified address or upon collection by the courier from our premises, whichever is applicable under the agreed delivery terms (Incoterms or otherwise stated in the order confirmation).

5.5 Non-Delivery and Lost Parcels

If goods are not delivered within the maximum period of 30 calendar days, you should contact us at office@smartknx.eu. We will investigate with the relevant courier and, where it is confirmed that goods have been lost in transit, will arrange re-dispatch or issue a refund at your option, subject to any insurance or liability limitations applicable to the courier service used.

5.6 Partial Deliveries

Where an order consists of multiple items, SmartKNX reserves the right to make deliveries in separate consignments. Each partial delivery will be invoiced and charged for shipping separately unless otherwise agreed.

6. Prices and Value Added Tax (VAT)

6.1 VAT Treatment

All prices in the online shop are quoted exclusive of VAT. The applicable VAT treatment will be determined at checkout based on the Customer’s location and VAT registration status:

  • Customers registered for VAT in another EU Member State: where you provide a valid EU VAT identification number, the transaction will be treated as an intra-Community B2B supply and the reverse-charge mechanism will apply under Article 196 of Council Directive 2006/112/EC. No Romanian VAT will be charged. You are responsible for accounting for VAT in your own jurisdiction.
  • Customers in Romania: Romanian VAT at the applicable rate will be added to the invoice.
  • Customers outside the EU: supplies may be zero-rated for VAT purposes subject to applicable export documentation requirements.

6.2 VAT Number Verification

It is your responsibility to provide an accurate and currently valid VAT identification number at the time of account registration and to notify us promptly of any changes. SmartKNX reserves the right to verify VAT numbers using the EU VIES system and to add VAT to invoices where a number cannot be verified or is found to be invalid.

6.3 Currency

All transactions are conducted in Euros (EUR). SmartKNX shall not be responsible for any exchange rate losses incurred by the Customer where payment is made from a non-Euro account.

7. Right of Withdrawal and Returns

7.1 Right of Withdrawal for EU Customers

Where applicable EU law grants a right of withdrawal to consumers (as defined under Directive 2011/83/EU), such customers have the right to withdraw from a distance contract for products without giving any reason within 14 calendar days of the day on which they, or a third party other than the carrier and indicated by the customer, physically take delivery of the goods.

As noted in Section 1.2, the SmartKNX online shop is directed at business customers. However, to the extent that any Customer qualifies as a consumer under applicable law, the statutory 14-day withdrawal right shall apply in full.

7.2 How to Exercise the Right of Withdrawal

To exercise the right of withdrawal, you must inform SmartKNX of your decision by means of an unequivocal statement (for example, a letter sent by post or email) before the withdrawal period expires. You may contact us at:

  • Email: office@smartknx.eu
  • Post: Instal Electroclima SRL, Str. Vulturului nr. 8, lot 1, Constanța, Romania

You must return the goods to us without undue delay and in any event no later than 14 calendar days after the day on which you communicated your decision to withdraw. Goods must be returned to our registered address. The direct cost of returning the goods shall be borne by the Customer unless otherwise agreed.

7.3 Condition of Returned Goods

You are responsible for any diminished value of the goods resulting from handling beyond what is necessary to establish the nature, characteristics, and functioning of the goods. Returned goods must be in their original condition, in original packaging where possible, complete with all accessories and documentation, and unused.

7.4 Refunds Upon Withdrawal

Where the right of withdrawal is validly exercised, SmartKNX will reimburse all payments received from the Customer, including standard delivery charges (but not any supplementary costs arising from your choice of a delivery method other than the least expensive standard delivery offered), without undue delay and no later than 14 calendar days from the day on which we receive the returned goods or evidence that they have been dispatched, whichever is the earlier. Refunds will be made by bank transfer to the account from which payment was received.

7.5 Exclusions from the Right of Withdrawal

The right of withdrawal does not apply to:

  • goods that have been clearly customised, configured, or manufactured to the Customer’s specification;
  • sealed goods which are not suitable for return for reasons of health protection or hygiene where the seal has been broken after delivery;
  • goods that have become mixed inseparably with other items after delivery; or
  • services that have been fully performed with the Customer’s prior express consent.

7.6 B2B Returns Policy

For business customers to whom the statutory right of withdrawal does not apply, returns will only be accepted at SmartKNX’s sole discretion. If you wish to discuss a return, please contact us at office@smartknx.eu within 14 days of delivery. SmartKNX reserves the right to charge a restocking fee and will not accept returns of opened, used, or specially ordered goods in any circumstances unless there is a defect covered under the warranty provisions in Section 8.

8. Warranty and Legal Conformity

8.1 Manufacturer’s Warranty

Many of the KNX products sold through the SmartKNX online shop are supplied with a manufacturer’s warranty. The scope, duration, and conditions of any manufacturer’s warranty are set out in the documentation accompanying the product or available from the manufacturer directly. SmartKNX acts as a reseller and does not independently extend or modify manufacturers’ warranty terms. Where a product develops a fault that you believe is covered under the manufacturer’s warranty, we will assist you in submitting a warranty claim to the manufacturer where possible.

8.2 Legal Conformity Guarantee

In addition to any manufacturer’s warranty, SmartKNX is subject to the applicable statutory obligations regarding the conformity of goods with the contract of sale. Under Romanian Law No. 449/2003 (as amended) and applicable EU Directive 2019/771 on the sale of goods, you may be entitled to remedies where goods do not conform to the contract of sale, including repair, replacement, a price reduction, or rescission of the contract.

For business customers, the statutory legal conformity guarantee period and associated remedies shall apply as provided under applicable Romanian commercial law. For customers who qualify as consumers under applicable law, the statutory guarantee period of a minimum of two years from delivery shall apply in accordance with Directive 2019/771.

8.3 Notification of Defects

If you believe a product is defective or does not conform to the contract, you must notify SmartKNX in writing at office@smartknx.eu as soon as possible after discovering the defect and, in the case of business customers, no later than 14 days after discovery. Please include your order reference number, a description of the defect, and, where possible, photographic evidence.

8.4 Warranty Exclusions

Warranty claims will not be accepted in respect of defects arising from:

  • improper installation, commissioning, or use not in accordance with the manufacturer’s instructions;
  • unauthorised modification or repair of the product;
  • physical damage, accidental damage, or damage caused by electrical surges or inappropriate environmental conditions;
  • normal wear and tear; or
  • use of the product for a purpose for which it was not designed.

9. Services and Integration Projects

9.1 Scope of Services

SmartKNX provides professional KNX smart-home and building-automation integration services across Europe, including:

  • system design and consultancy;
  • ETS programming and configuration;
  • on-site installation;
  • commissioning and testing; and
  • ongoing technical support.

The precise scope, deliverables, timescales, and commercial terms for any integration project will be set out in a written project agreement or accepted quotation, which shall supplement and, in the event of any conflict, prevail over these Terms & Conditions with respect to that project.

9.2 Customer Obligations

Where SmartKNX is engaged to provide on-site or remote integration services, the Customer shall:

  • provide SmartKNX’s personnel with safe, timely, and adequate access to the relevant premises and systems;
  • ensure that all necessary third-party consents, permits, and approvals have been obtained prior to the commencement of works;
  • appoint an appropriate representative to liaise with SmartKNX throughout the project; and
  • provide accurate and complete information required for system design and programming.

SmartKNX shall not be liable for any delay or additional cost arising from the Customer’s failure to fulfil these obligations.

9.3 Acceptance and Completion

Unless otherwise stated in the project agreement, services shall be deemed accepted upon the Customer’s written sign-off or, in the absence of any written objection, within 5 business days of practical completion being notified by SmartKNX. The balance invoice will fall due upon acceptance in accordance with Section 4.2.2.

9.4 Changes to Project Scope

Any changes to the agreed scope of works must be requested and agreed in writing before implementation. SmartKNX will issue a change-order quotation for any scope amendments, and the agreed variation price will be invoiced accordingly. SmartKNX is not obliged to implement changes that have not been authorised in writing.

9.5 Travel and Expenses

Unless expressly included in the project quotation, ancillary travel costs for on-site services — including flight tickets, accommodation, subsistence and local transport — are itemised separately and must be accepted in writing by the Customer before they are incurred; they are then charged to the Customer at cost, supported by receipts.

10. Liability

10.1 Limitations of Liability

To the fullest extent permitted by applicable law, SmartKNX’s total aggregate liability to a business customer in connection with any contract governed by these Terms & Conditions, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount paid or payable by the Customer under the relevant contract or order giving rise to the claim.

10.2 Exclusion of Consequential Loss

To the fullest extent permitted by applicable law, SmartKNX shall not be liable to any business customer for:

  • any loss of profit, revenue, or anticipated savings;
  • any loss of business or business opportunity;
  • any loss of goodwill or reputation;
  • any indirect or consequential loss or damage; or
  • any loss arising from third-party claims,

even if SmartKNX has been advised of the possibility of such losses.

10.3 Mandatory Liability

Nothing in these Terms & Conditions shall limit or exclude SmartKNX’s liability for:

  • death or personal injury caused by SmartKNX’s negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability that cannot be limited or excluded under applicable Romanian or EU law.

10.4 Force Majeure

SmartKNX shall not be liable for any failure or delay in performance of its obligations caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic events, war, civil unrest, strikes or industrial action by third parties, governmental restrictions, failure of telecommunications networks, or delays caused by suppliers or couriers. Where a force majeure event continues for more than 60 calendar days, either party may terminate the affected contract by written notice, and any advance payments for unperformed obligations will be refunded.

10.5 Customer’s Responsibility for Installation Compliance

Where products are purchased for self-installation or installation by a third party, it is the Customer’s sole responsibility to ensure that installation is carried out by appropriately qualified personnel in compliance with all applicable local electrical, building, and safety regulations. SmartKNX accepts no liability for loss or damage arising from incorrect or non-compliant installation.

11. Intellectual Property

11.1 SmartKNX Intellectual Property

All intellectual property rights in the SmartKNX website, including its design, layout, text, graphics, logos, and source code, are owned by or licensed to Instal Electroclima SRL. Nothing in these Terms & Conditions transfers any intellectual property rights to the Customer. You may view and print content from the website for your internal business reference purposes only. You may not reproduce, modify, distribute, or exploit any content from the website for any commercial purpose without SmartKNX’s prior written consent.

11.2 ETS Project Files and Configuration Data

Where SmartKNX creates ETS project files, configuration data, group address structures, logic programming, or other bespoke software or technical documentation as part of an integration project:

  • the intellectual property rights in such materials shall, unless expressly agreed otherwise in writing, be licensed to the Customer on a non-exclusive, non-transferable basis for use solely in connection with the installed system at the agreed premises;
  • SmartKNX retains all underlying intellectual property rights; and
  • the Customer may not sub-license, share, or disclose the project files to third parties (including other integrators or installers) without SmartKNX’s prior written consent.

11.3 Third-Party Software and Manufacturer IP

KNX products supplied by SmartKNX may incorporate manufacturer firmware, software, or other intellectual property. Such materials remain the property of the respective manufacturers and are subject to their own licensing terms. SmartKNX makes no representations regarding third-party intellectual property.

12. Data Protection

12.1 Personal Data

Instal Electroclima SRL processes personal data collected through the website and in connection with orders and service contracts in accordance with its Privacy Policy, published separately on smartknx.eu, and in compliance with Regulation (EU) 2016/679 (the General Data Protection Regulation, “GDPR”) and applicable Romanian data protection law.

12.2 Data Collected

The categories of personal data we collect and process include business account registration details, order and transaction data, contact and quote-form submissions, and B2B account login activity.

12.3 Third-Party Service Providers

We engage third-party service providers, including our website hosting provider and our shipping courier partner (FedEx), who may process personal data on our behalf as data processors. We ensure appropriate data processing agreements are in place in accordance with Article 28 GDPR.

12.4 Analytics

We may use Google Analytics to analyse website usage. Where we do so, this will be implemented subject to a cookie consent mechanism compliant with applicable EU e-privacy requirements. You will be given the opportunity to accept or decline non-essential cookies before any tracking commences.

12.5 Supervisory Authority

The data protection supervisory authority for Romania is the Autoritatea Națională de Supraveghere a Prelucrării Datelor cu Caracter Personal (ANSPDCP), Bd. G-ral Gheorghe Magheru 28–30, 010336 Bucharest, Romania. Website: www.dataprotection.ro. You have the right to lodge a complaint with the ANSPDCP if you believe that the processing of your personal data infringes the GDPR.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms & Conditions, and any contractual or non-contractual dispute or claim arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of Romania, supplemented where applicable by directly applicable European Union law, without regard to conflict of law principles that would require the application of the laws of any other jurisdiction.

13.2 Jurisdiction

The parties irrevocably agree that the courts of Constanța, Romania shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms & Conditions or their subject matter or formation, provided that SmartKNX reserves the right to bring enforcement proceedings in any court of competent jurisdiction where the Customer has assets or is domiciled.

13.3 Alternative Dispute Resolution

We encourage Customers to contact us in the first instance to resolve any dispute amicably. Please direct any complaint or concern to office@smartknx.eu. We will endeavour to respond within 5 business days and to reach an agreed resolution within a reasonable time.

The European Commission’s Online Dispute Resolution (ODR) platform was discontinued on 20 July 2025 pursuant to Regulation (EU) 2024/3228. SmartKNX is not obliged to participate in alternative dispute resolution proceedings before a consumer arbitration body, but will consider doing so on a case-by-case basis.

Consumers resident in Romania may contact the National Authority for Consumer Protection (ANPC) — alternative dispute resolution (SAL): https://anpc.ro/ce-este-sal/.

14. Miscellaneous

14.1 Severability

If any provision of these Terms & Conditions is found by any court or competent authority to be invalid, unlawful, or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted or modified to the minimum extent necessary to make it valid, legal, and enforceable. Any such modification or deletion shall not affect the validity and enforceability of the remaining provisions of these Terms & Conditions.

14.2 Waiver

No failure or delay by SmartKNX in exercising any right or remedy under these Terms & Conditions or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict its further exercise. A waiver of any right or remedy is effective only if given in writing.

14.3 Assignment

The Customer may not assign, transfer, charge, subcontract, or otherwise deal with any of its rights or obligations under these Terms & Conditions without SmartKNX’s prior written consent. SmartKNX may assign, transfer, or subcontract any of its rights or obligations to a third party, provided that this does not adversely affect the Customer’s rights under these Terms & Conditions.

14.4 No Third-Party Rights

These Terms & Conditions are made for the benefit of the parties and do not confer any rights on any third party.

14.5 Notices

Any notice or communication given under these Terms & Conditions shall be in writing and sent by email to office@smartknx.eu or by post to Instal Electroclima SRL, Str. Vulturului nr. 8, lot 1, Constanța, Romania. Notices sent by email are deemed received on the next business day after sending, unless a delivery-failure notification is received.

14.6 Amendments

SmartKNX may amend these Terms & Conditions from time to time. The version that applies to any order or contract is the version in force and published on smartknx.eu at the time the order or project enquiry is submitted. Amendments do not affect contracts already formed. Where changes are material, we will take reasonable steps to notify registered account holders.

14.7 Language

These Terms & Conditions are drafted in English. Where they are translated into any other language, the English version shall prevail in the event of any conflict or inconsistency of interpretation.

14.8 Acceptance and Record of Consent

Acceptance of these Terms & Conditions is mandatory. When you register for a business account you must actively tick the acceptance box confirming that you have read and agree to these Terms & Conditions; the account cannot be created without it. Placing an order likewise confirms your acceptance. SmartKNX records each acceptance — including the date and time, the account email address, and the version of the Terms accepted — and retains this record as evidence of your consent. A copy of these Terms is available at all times on smartknx.eu and is referenced in your account and order confirmation emails.
